End-User License Agreement and Terms of Use

Teton Auto Group CFO · Effective October 15, 2026

These terms govern use of Teton Auto Group CFO (the "Application"), an internal financial-reporting tool operated by Hart Capital LLC ("we", "us"). By connecting a QuickBooks Online company file to the Application or by using reports it produces, you agree to these terms.

1. Who may use the Application

The Application is a private, internal tool. It is licensed only to Teton Auto Group Holdings, its subsidiaries, and individuals those companies authorize (owners, officers, bookkeepers and staff). It is not offered to the general public and may not be resold, sublicensed or made available to any other business.

2. License

Subject to these terms, we grant authorized users a non-exclusive, non-transferable, revocable license to use the Application and its reports for the internal business purposes of the connected companies.

3. Connecting QuickBooks Online

Only a Primary Admin or Company Admin of a QuickBooks Online company file may connect it. By connecting, you confirm you have authority to grant the Application read access to that company's accounting data. The Application reads data only; it does not create, modify or delete records in QuickBooks Online. You may disconnect at any time from QuickBooks Online or by contacting us.

4. Your responsibilities

5. Reports are management information, not advice

Reports, metrics, ledger reviews and written commentary produced by the Application are generated automatically from QuickBooks Online data and may contain errors, omissions or AI-generated narrative that has not been reviewed by an accountant. They are internal management information only. They are not audited financial statements, tax advice, legal advice or investment advice, and must not be provided to lenders, investors, tax authorities or other third parties without independent review.

6. Intellectual property

The Application, its code and its report formats are owned by Hart Capital LLC. Accounting data remains the property of the company that owns the QuickBooks Online file. QuickBooks and Intuit are trademarks of Intuit Inc., which is not a party to these terms and provides no warranty regarding the Application.

7. Privacy

Our handling of data is described in the Privacy Policy, which forms part of these terms.

8. Disclaimer of warranties

The Application is provided "as is" and "as available" without warranty of any kind, express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability.

9. Limitation of liability

To the fullest extent permitted by law, Hart Capital LLC will not be liable for any indirect, incidental, consequential or special damages, or for any loss of profits, data or business, arising from use of or inability to use the Application or its reports. Our total liability for any claim relating to the Application will not exceed one hundred US dollars.

10. Termination

We may suspend or terminate access at any time. You may stop using the Application and disconnect your company files at any time. Sections 5, 6, 8, 9 and 11 survive termination.

11. Governing law

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Teton County, Wyoming.

12. Changes

We may update these terms; the effective date above will change when we do. Continued use after a change means the updated terms apply.
